1. SAVI PROPOSAL AT GILLETTE, KB HOME, EQUUS II
Our "Shareowners’ Alternative Voting Information" proposal
will be in the year-2001 proxies, for shareowner vote at the
annual meetings of Gillette, KB Home, and Equus II. This
3-out-of-3 success rate for getting submissions into proxies
is a great improvement over last year’s 2-out-of-12! I
revised the proposal to exclude advice on director elections,
so as to satisfy SEC rule 14a-8(i)(8).
I will attend these meetings to present the proposal. Dates
and locations are in #4 below.

2. AUDITOR INDEPENDENCE PROPOSAL AT SONICBLUE
As a shareowner of SONICblue, in November 2000 I submitted
this proposal to let shareowners vote to choose the auditor
instead of just rubber-stamping the Board’s choice. The
usual management arguments to omit the proposal from the
proxy, and my counterarguments, were made to the SEC in
January and February. We expect the SEC decision soon,

3. MARK LATHAM TO SPEAK AT COMMONWEALTH CLUB MARCH 20
I will discuss the Corporate Monitoring Project at the
Commonwealth Club of California’s San Francisco office,
595 Market Street, at 5 pm on Tuesday March 20. This will
include our shareowner proposal campaign, and my articles
"It’s Time for Stock-Vote-Bot" and "The Internet Will Drive
Corporate Monitoring".
